A considered approach

SPDF Group provides corporate and fiduciary services to clients whose arrangements require careful administration across more than one jurisdiction. We are a licensed Dutch firm. We provide services; we do not provide legal or tax advice. Where an engagement requires advice on a matter of Dutch or other law, or on a matter of tax, we work with our clients’ own legal and tax advisers, in whose advisory remit those matters properly belong.

It is in the nature of fiduciary work that the substance of it changes very little from one period to the next. What changes — continually, and at increasing pace — is the form: what regulation requires in any given year, what banking counterparties expect of an entity before they will open or maintain an account, what the substance rules demand at the level of the operating structure, what the underlying law treats as acceptable. The discipline of the profession lies in holding the substance constant whilst attending closely to the form, such that the arrangements we administer continue to do what they were established to do as the framework around them moves.

SPDF Group is headquartered in Amsterdam. Our practice extends to clients across the world through a network of professional partners and offices in the jurisdictions in which our clients’ arrangements ordinarily touch — lawyers, accountants, fiduciary firms and other specialists with whom we have worked over a number of years and whose work we know. Our clients are introduced to us by these partners; by their own research and the considered recommendations of their existing advisers; and by their banking counterparties, who have a particular interest in the firms with which their clients elect to do business. They remain with us because the work is done properly.

What we provide

Company management. The administration of Dutch corporate structures, from initial incorporation through to the ongoing discharge of fiduciary responsibilities. We act as registered office; we provide local directorship where the structure of the engagement requires it; we maintain the statutory records the law requires us to keep; and we discharge the obligations that arise from holding a vehicle in a regulated jurisdiction.

Family office services. The administration of arrangements established for international families and individuals. Wills, trusts and foundations. Succession arrangements. Holding structures for family wealth. The introduction to and oversight of private banking relationships. Conducted by personnel who hold the STEP qualification — the professional standard for trust and estate practitioners — and undertaken with the discretion and continuity that family wealth work properly requires.

Fund administration. Administration, reporting and operational support services for alternative investment vehicles, their managers, their investors and the regulators to whom they answer. We provide services across European and offshore fund structures.

Accounting and reporting. Statutory bookkeeping, management reporting and audit support for cross-border companies, funds and special purpose vehicles, in accordance with EU GAAP, US GAAP and IFRS as the relevant jurisdictions require.

Compliance and corporate governance. Tax compliance, financial compliance, anti-money-laundering compliance and the corporate governance functions through which a regulated vehicle is properly run. Engaged on behalf of structures we administer, and offered as a discrete service to clients entering into new business relationships who require proper due diligence to be conducted on a counterparty.
